IMPORTANT: These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and ACGRAM LLC, a Wyoming limited liability company ("ACGRAM," "we," "us," or "our"). By accessing or using any ACGRAM product, service, or website, you agree to be bound by these Terms. If you do not agree, do not use our products or services.

NOTICE: ACGRAM LLC is not a law firm, accounting firm, or licensed professional services provider. Our products are software tools, not legal or compliance advice.

1. ABOUT ACGRAM

ACGRAM LLC is a software intellectual property (IP) product studio organized under the laws of the State of Wyoming, USA. We develop and license software products ("Blueprints™") designed to assist organizations with compliance workflows, regulatory tracking, and commercial operations across the United States, Canada, the United Kingdom, and the European Union.

2. PRODUCTS AND SERVICES

ACGRAM Blueprints™ are software development intellectual property products sold under license. Our products include compliance workflow tools, regulatory tracking systems, document management platforms, quoting engines, and commercial operations software. 3. LICENSE GRANT

Subject to these Terms and payment of applicable fees, ACGRAM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the purchased ACGRAM product(s) solely for your internal business purposes during the license term.

You may not: (a) copy, modify, distribute, sell, resell, lease, or sublicense any ACGRAM product or its documentation; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of any ACGRAM product; (c) use any ACGRAM product to build a competing product or service; (d) remove, alter, or obscure any copyright, trademark, or proprietary notices; (e) use any ACGRAM product in violation of any applicable law or regulation; or (f) share access credentials with unauthorized parties.

4. INTELLECTUAL PROPERTY

All ACGRAM products, including all code, documentation, designs, trade secrets, trademarks, and related intellectual property, are and remain the exclusive property of ACGRAM LLC. No title or ownership interest in any ACGRAM product is transferred to you. ACGRAM™ is a trademark of ACGRAM LLC. Patent pending.

Your use of ACGRAM products does not grant you any rights to ACGRAM's intellectual property except the limited license described in Section 3 above.

5. NOT LEGAL OR COMPLIANCE ADVICE

ACGRAM products are workflow automation and data management tools designed to ASSIST organizations with their compliance programs. ACGRAM products DO NOT provide:

- Legal advice of any kind
- Regulatory certification or compliance assurance
- Professional opinions, assessments, or recommendations
- Guarantees of compliance with any law, regulation, or standard

Use of any ACGRAM product does not guarantee compliance with any law, regulation, or standard in any jurisdiction. Organizations are solely responsible for their own regulatory compliance and should consult qualified legal, tax, and compliance professionals for jurisdiction-specific guidance.

6. PAYMENT AND FEES

All fees are as set forth in the applicable quote, order form, or license agreement between you and ACGRAM. Unless otherwise stated, fees are in U.S. dollars, non-refundable, and due upon the terms specified in your order. ACGRAM reserves the right to modify fees upon 30 days' written notice before any renewal period.

7. WARRANTY DISCLAIMER

ACGRAM PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ACGRAM LLC DOES NOT WARRANT THAT: (A) PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) PRODUCTS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM PRODUCTS WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN PRODUCTS WILL BE CORRECTED; OR (E) PRODUCTS WILL BE COMPATIBLE WITH ANY SPECIFIC HARDWARE OR SOFTWARE CONFIGURATION.

ACGRAM LLC DOES NOT WARRANT THE COMPLETENESS, ACCURACY, OR TIMELINESS OF ANY REGULATORY INFORMATION PRESENTED IN ITS PRODUCTS. REGULATORY REQUIREMENTS CHANGE FREQUENTLY AND SHOULD BE INDEPENDENTLY VERIFIED.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACGRAM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, REGULATORY FINES OR PENALTIES, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE ACGRAM PRODUCTS, REGARDLESS OF THE THEORY OF LIABILITY.

ACGRAM LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO ANY ACGRAM PRODUCT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE USER TO ACGRAM LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ACGRAM LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. INDEMNIFICATION

You agree to release, indemnify, defend, and hold harmless ACGRAM LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use or misuse of ACGRAM products; (b) your violation of any applicable law, regulation, or third-party right; (c) your failure to maintain adequate compliance programs independent of ACGRAM products; (d) any third-party claim arising from your reliance on ACGRAM product outputs; (e) any regulatory action, investigation, fine, or penalty imposed on you; (f) your failure to independently verify regulatory information provided by ACGRAM products; or (g) any data breach or security incident arising from your systems or practices.

10. TERMINATION

Either party may terminate the license upon 30 days' written notice. ACGRAM may terminate immediately if you breach these Terms. Upon termination: (a) your license to use ACGRAM products ceases immediately; (b) you must destroy all copies of ACGRAM products in your possession; (c) any unpaid fees become immediately due. Sections 4, 5, 7, 8, 9, 11, and 12 survive termination.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in the State of Wyoming. You consent to the personal jurisdiction of such courts.

For EU/UK users: Nothing in these Terms affects your statutory rights as a consumer under the laws of your jurisdiction of residence.

12. GENERAL PROVISIONS

Entire Agreement: These Terms, together with any applicable order form, EULA, or DPA, constitute the entire agreement between you and ACGRAM regarding the subject matter hereof.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.

No Waiver: ACGRAM's failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without ACGRAM's written consent. ACGRAM may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure: ACGRAM shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to: regulatory changes, natural disasters, acts of government, pandemics, internet or telecommunications failures, or third-party service disruptions.

Amendments: ACGRAM may update these Terms at any time by posting the revised version at acgram.com. Continued use of ACGRAM products after posting constitutes acceptance of the updated Terms. Material changes will be communicated via email to registered users with 30 days' advance notice.
