ACGRAM LLC — End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee," "User," or "you") and ACGRAM LLC, a Wyoming limited liability company ("ACGRAM," "Licensor," "we," or "our"), governing your use of ACGRAM software intellectual property products ("Blueprints™" or "Products").

BY PURCHASING, DOWNLOADING, INSTALLING, OR USING ANY ACGRAM PRODUCT, YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE PRODUCT.

1. DEFINITIONS

"Blueprint™" means any ACGRAM software intellectual property product, including all code, documentation, designs, configurations, prompts, and related materials.

"License Term" means the duration specified in your order form, quote acceptance, or purchase confirmation.

"Permitted Users" means you and your authorized employees or contractors who need access to perform work on your behalf, up to the number of seats specified in your license.

2. LICENSE GRANT

Subject to your compliance with this EULA and payment of applicable fees, ACGRAM grants you a:

Limited
Non-exclusive
Non-transferable
Non-sublicensable
Revocable

license to use the purchased Blueprint(s) solely for your internal business purposes during the License Term.

3. LICENSE RESTRICTIONS

You shall NOT:

(a) Copy, reproduce, distribute, publish, or create derivative works from any Blueprint, in whole or in part
(b) Sell, resell, rent, lease, lend, or sublicense any Blueprint to any third party
(c) Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, data structures, or trade secrets embodied in any Blueprint
(d) Use any Blueprint to build, train, or improve a competing product or service
(e) Remove, alter, or obscure any copyright, trademark, patent, or proprietary notices
(f) Share access credentials, API keys, or license keys with unauthorized parties
(g) Use any Blueprint in violation of any applicable law or regulation
(h) Transfer your license to another entity without ACGRAM’s prior written consent
(i) Use automated tools to extract, scrape, or data-mine any Blueprint content
(j) Publicly benchmark or publish performance comparisons without ACGRAM’s written consent

4. INTELLECTUAL PROPERTY OWNERSHIP

All Blueprints, including all intellectual property rights therein, are and shall remain the exclusive property of ACGRAM LLC. This EULA does not grant you any ownership interest in any Blueprint.

ACGRAM™ is a registered trademark of ACGRAM LLC. Patent pending. All trade secrets are protected under 18 U.S.C. § 1836 (Defend Trade Secrets Act) and applicable state trade secret laws.

Any feedback, suggestions, or improvements you provide regarding Blueprints become the property of ACGRAM LLC without obligation to you.

5. DELIVERY AND ACCEPTANCE

Blueprints are delivered electronically. Delivery is complete upon ACGRAM making the product available for download or access. You have 14 days from delivery to report any material defect. If no defect is reported within this period, the product is deemed accepted.

6. FEES AND PAYMENT

All fees are as specified in the applicable quote, order form, or purchase confirmation. Fees are non-refundable except as required by applicable law. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

7. PRODUCT DISCLAIMER

ACGRAM BLUEPRINTS™ ARE SOFTWARE TOOLS. THEY DO NOT PROVIDE LEGAL ADVICE, REGULATORY CERTIFICATION, COMPLIANCE ASSURANCE, OR PROFESSIONAL OPINIONS OF ANY KIND.

Products that reference specific laws or regulations (including but not limited to: EU Cyber Resilience Act, EU AI Act, GDPR, PIPEDA, CCPA, OFAC, and other regulatory frameworks) do so for organizational and workflow purposes only. All regulatory information must be independently verified.

USE OF ANY ACGRAM PRODUCT DOES NOT GUARANTEE COMPLIANCE WITH ANY LAW, REGULATION, OR STANDARD.

8. WARRANTY DISCLAIMER

ACGRAM PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. LIMITATION OF LIABILITY

ACGRAM LLC’S TOTAL AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE TOTAL LICENSE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ACGRAM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. TERM AND TERMINATION

This EULA is effective upon your acceptance and continues for the License Term. Either party may terminate upon 30 days’ written notice. ACGRAM may terminate immediately upon breach by you.

Upon termination: (a) all licenses granted herein cease immediately; (b) you must destroy all copies of Blueprints in your possession and certify destruction in writing; (c) all unpaid fees become immediately due; (d) Sections 3, 4, 7, 8, 9, 11, and 12 survive termination.

11. GOVERNING LAW

This EULA is governed by the laws of the State of Wyoming, USA. Disputes shall be resolved in the courts of Wyoming. For EU/UK users, mandatory consumer protection laws of your jurisdiction of residence continue to apply.

12. GENERAL

Entire Agreement: This EULA, together with your order form and ACGRAM’s Terms of Service, constitutes the entire agreement.

Severability: Invalid provisions are severed; remaining provisions continue.

No Waiver: Failure to enforce any provision is not a waiver.

Export Compliance: You agree to comply with all applicable export laws and regulations, including U.S. Export Administration Regulations (EAR) and OFAC sanctions.
